1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and JNMG Ventures LLC ("Company", "we", "us", or "our") concerning your access to and use of the Scripted application ("Application" or "Software") and the scripted.so website ("Website").

By purchasing, downloading, installing, or using our Software, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access or use our services.

2. License and Ownership

2.1 License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use the Scripted software on devices you own or control, subject to the device limitations specified in your license type.

2.2 Ownership

You own the license to use the Software perpetually. The Software itself, including all intellectual property rights, remains the exclusive property of JNMG Ventures LLC. You own all content you create using the Software.

2.3 Restrictions

You may not:

• Share, distribute, or resell your license key
• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices or labels
• Use the Software for any illegal or unauthorized purpose
• Violate any applicable laws in your jurisdiction

3. Subscription Services

3.1 Updates and AI Features

Your monthly subscription provides access to continuous software updates and AI-powered features. The subscription is optional; you retain full use of the base Software even if you cancel your subscription.

3.2 AI Token Usage

AI features are limited by monthly token allowances based on your subscription tier. Unused tokens do not roll over to the next billing period.

3.3 Billing and Cancellation

Subscriptions are billed monthly in advance. You may cancel your subscription at any time through your account portal. Cancellation takes effect at the end of the current billing period.

4. Refund Policy

We offer a 7-day money-back guarantee from the date of purchase. To request a refund within this period, contact us through your account portal. Upon refund approval:

• Your license will be immediately deactivated
• All device activations will be revoked
• You must uninstall the Software from all devices

Refunds are processed through the original payment method within 5-10 business days.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the screenplays, scripts, and other content you create using Scripted. We do not claim any ownership rights to your content.

6.2 Our Property

The Software, Website, and all associated intellectual property rights are and shall remain the exclusive property of JNMG Ventures LLC. Our trademarks and trade dress may not be used without our prior written permission.

7. Privacy

Your use of our services is subject to our Privacy Policy. Please review our Privacy Policy, which also governs your visit to our Website and use of our Software.

8. Disclaimers and Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, secure, or error-free. You use the Software at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JNMG VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless JNMG Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Software or violation of these Terms.

11. Termination

We may terminate or suspend your license immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Software will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Last updated" date. Your continued use of the Software after any modifications indicates your acceptance of the updated Terms.

14. Age Requirements

You must be at least 13 years old to use our services. If you are under 18, you must have parental or guardian consent to purchase and use the Software.

15. Export Compliance

You may not use or export the Software in violation of U.S. export laws and regulations. The Software may not be used in countries subject to U.S. embargo.
